1. Nature of the Platform

PRELISTD operates as a technology platform that provides access to privately structured property investment opportunities.

The Platform facilitates:

• Investor onboarding and verification
• Access to information about private investment opportunities
• Documentation and record management
• Communication between investors and issuers

PRELISTD is not:

• A broker-dealer
• A registered investment adviser
• A securities exchange
• A custodian of investor funds
• A bank

All investment opportunities are offered by independent issuers through dedicated special purpose vehicles ("SPVs"). PRELISTD does not issue securities directly through the Platform unless expressly disclosed in connection with a specific offering.

2. Eligibility

Access to the Platform is limited to individuals and entities that:

• Are at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Meet applicable jurisdictional and eligibility requirements
• Complete required identity and compliance verification

Certain investment opportunities may be limited to accredited investors, qualified purchasers, or non-U.S. persons, depending on the structure of the offering.

PRELISTD reserves the right to deny or revoke access at its sole discretion.

3. No Investment Advice

Information provided on the Platform is for informational purposes only.

PRELISTD does not:

• Provide investment advice
• Recommend specific securities
• Provide tax, legal, or financial advice
• Assess the suitability of any investment for any individual user

You are solely responsible for evaluating the risks and merits of any investment opportunity.

You should consult your own legal, tax, and financial advisers before making any investment decision.

4. Investment Risk Disclosure

Investments offered through the Platform are speculative and involve substantial risk.

You acknowledge and agree that:

• You may lose some or all of your invested capital
• Returns are not guaranteed
• Investments may be illiquid
• Transfers may be restricted
• There is no public market for interests in most offerings

Each offering includes its own risk disclosures, which you are required to review prior to investing.

5. No Custody of Funds

PRELISTD does not take custody of investor funds.

All capital commitments are made directly to the issuer or its designated investment vehicle. PRELISTD does not pool investor funds at the platform level.

Payment processing services, where applicable, are provided by third-party providers and/or directly to the issuer.

6. User Representations

By using the Platform, you represent and warrant that:

• All information you provide is accurate and complete
• You will not misrepresent your identity, eligibility, or financial status
• You will comply with all applicable laws and regulations
• You are not subject to sanctions or restricted by applicable law

You agree to update your information as necessary to maintain its accuracy.

7. Account Security

You are responsible for maintaining the confidentiality of your account credentials.

You agree to notify PRELISTD immediately of any unauthorized use of your account.

PRELISTD is not liable for losses resulting from unauthorized account access unless caused by PRELISTD's gross negligence or willful misconduct.

8. Offering Materials and Confidentiality

Certain materials made available on the Platform may be confidential.

You agree not to:

• Share offering materials publicly
• Distribute confidential documents
• Reproduce investment documentation without authorization

Access to specific opportunities may be restricted to verified users.

9. Transfers and Secondary Transactions

Transfers of investment interests, where permitted, are subject to:

• Applicable securities laws
• The governing documents of the investment vehicle
• Approval by the issuer

PRELISTD does not operate a securities exchange or public secondary market.

Any permitted transfers are private and subject to eligibility verification.

10. Fees

Platform-related fees, if applicable, will be disclosed in connection with specific offerings or within applicable documentation.

PRELISTD does not charge transaction-based brokerage commissions unless expressly disclosed in accordance with applicable law.

11. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is owned by PRELISTD or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law:

PRELISTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

PRELISTD's total liability shall not exceed the greater of:

• $100 USD, or
• The amount of fees paid by you to PRELISTD in the preceding twelve (12) months.

13. Indemnification

You agree to indemnify and hold harmless PRELISTD and its officers, directors, affiliates, and employees from any claims, damages, liabilities, or expenses arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your violation of applicable laws

14. Modifications

PRELISTD reserves the right to modify these Terms at any time.

Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located in the State of Delaware, unless otherwise required by law.
